Restaurant POS System Terms of Service
1 Agreement to Terms
1.1 Acceptance of Terms
By accessing or using RESTOPOS restaurant POS system, you agree to be bound by these Terms & Conditions, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing our restaurant POS software and services.
Our restaurant POS system and related materials are protected by applicable copyright and trademark law. By using our restaurant point of sale services, you acknowledge that:
- You have read and understand these Terms & Conditions for restaurant POS usage
- You are at least 18 years of age or have legal parental or guardian consent
- You have the legal authority to accept these Terms & Conditions on behalf of your restaurant
- You agree to be bound by all terms and conditions herein for restaurant POS system usage
1.2 Modifications to Terms
RESTOPOS reserves the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of the restaurant POS system following the posting of revised Terms & Conditions means that you accept and agree to the changes.
Important: We will notify restaurant owners of significant changes via email when possible.
2 Restaurant POS License and Restrictions
2.1 Limited License for Restaurant POS Software
RESTOPOS grants you a limited, non-exclusive, non-transferable license to use our restaurant POS system for your restaurant operations only. This license includes access to our restaurant point of sale software, online ordering system, delivery integration, and loyalty program features. Under this license you may not:
- Modify, copy, or reverse engineer the restaurant POS software
- Use the restaurant POS system for any business other than restaurants, cafes, or food service
- Attempt to decompile or reverse engineer any restaurant POS software components
- Remove any copyright or proprietary notations from the restaurant POS system
- Transfer or sublicense the restaurant POS software to another party
- Use the POS system for illegal activities or fraudulent transactions
This license shall automatically terminate if you violate any of these restrictions and may be terminated by RESTOPOS at any time. Upon termination, you must cease all use of the restaurant POS system and delete any downloaded materials.
2.2 Prohibited Activities with Restaurant POS
In addition to the restrictions above, you agree not to engage in the following activities when using our restaurant POS system:
- Process payments for non-restaurant related transactions
- Impersonate another restaurant or entity in the POS system
- Interfere with or disrupt the restaurant POS services or servers
- Attempt to gain unauthorized access to other restaurants' POS data
- Use automated scripts or bots to access the restaurant POS system
- Share login credentials with unauthorized personnel
3 Restaurant POS Disclaimer and Liability
3.1 Restaurant POS System Warranties
The RESTOPOS restaurant POS system is provided on an 'as is' basis. While we strive to provide reliable restaurant point of sale services, we make no warranties, expressed or implied, regarding uptime, payment processing accuracy, or compatibility with all restaurant equipment.
We do not warrant that the restaurant POS software will be error-free, that payment processing will be uninterrupted, or that the kitchen display system will never experience technical issues. Restaurant owners should maintain backup procedures for order processing.
3.2 Limitation of Liability for Restaurant Operations
RESTOPOS shall not be liable for any damages arising from restaurant POS system downtime, failed payment processing, lost orders, or any interruption to restaurant operations. This includes but is not limited to lost revenue, customer complaints, or damage to restaurant reputation.
Restaurant owners are responsible for maintaining adequate backup systems and procedures. Our total liability shall not exceed the monthly subscription fee paid for the restaurant POS system.
4 Restaurant Account Management
4.1 Restaurant POS Account Security
Restaurant owners are responsible for maintaining the confidentiality of their RESTOPOS account credentials and for restricting access to authorized restaurant staff only. You agree to accept responsibility for all activities that occur under your restaurant POS account.
RESTOPOS reserves the right to suspend restaurant POS accounts, refuse service, or terminate accounts if we detect suspicious activity, violation of terms, or fraudulent use of the restaurant point of sale system.
4.2 Restaurant Data and Content
By using RESTOPOS, restaurants grant us a limited license to process, store, and display restaurant data including menu items, prices, customer information, and transaction data as necessary to provide restaurant POS services. We will not share sensitive restaurant data with competitors.
Restaurants represent that they own or control all rights to menu content, pricing information, and promotional materials uploaded to the restaurant POS system, and that such content does not violate any applicable laws or third-party rights.
5 Payment Processing and Restaurant Operations
5.1 Restaurant Payment Processing
RESTOPOS restaurant POS system includes integrated payment processing for card payments, contactless payments, and mobile payments. Restaurants agree to comply with all payment card industry (PCI) standards and regulations when processing customer payments through our restaurant point of sale system.
Payment processing fees, chargeback policies, and settlement terms are governed by separate merchant processing agreements. Restaurants are responsible for all payment disputes and chargebacks related to their restaurant operations.
5.2 Restaurant Loyalty and Gift Card Programs
Our restaurant POS system includes QR-based loyalty programs and digital gift card functionality. Restaurants are responsible for honoring all loyalty rewards and gift card balances issued through the RESTOPOS system, even in the event of account termination.
6 Governing Law and Restaurant Disputes
6.1 Governing Law for Restaurant POS Services
These Terms shall be governed and construed in accordance with applicable laws, without regard to conflict of law provisions. Restaurant disputes related to POS system usage will be handled according to the jurisdiction where RESTOPOS is registered.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision is held invalid, the remaining provisions will remain in effect for continued restaurant POS usage.
6.2 Restaurant Dispute Resolution
Any disputes arising from restaurant POS system usage shall first be attempted to be resolved through informal negotiation with our restaurant support team. Contact us at sales@flax.com for dispute resolution.
Restaurant owners agree that any dispute resolution proceedings will be conducted only on an individual restaurant basis and not as part of a class action or consolidated proceeding.
